Welcome to Token Kiosk ("Token Kiosk", "we", "us", or "our"), operated by GAIB. Token Kiosk provides a credit-based LLM inference gateway, accessible via our website at token-kiosk.gaib.ai ("Site"), API endpoints at agent-router.gaib.ai, along with related applications, tools, and documentation (collectively, the "Service").
PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY. BY CONNECTING YOUR WALLET, GENERATING AN API KEY, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR DATA & LOGGING POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.
1. Service Overview
Token Kiosk operates a credit-based large language model (LLM) inference gateway and aggregator. The Service enables users to authenticate via Sign-In with Ethereum (SIWE), manage pre-paid credit balances, generate API keys, and route OpenAI-compatible completion requests to third-party generative artificial intelligence model providers ("Model Providers") listing models ("Models") on the Service. Token Kiosk may add, modify, or remove available Models or Model Providers at any time without prior notice.
2. Eligibility
You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to access or use the Service. By agreeing to these Terms, you represent and warrant that:
- You are at least 18 years of age;
- You have not previously been suspended or removed from the Service;
- Your registration, wallet connection, and use of the Service comply with all applicable laws and regulations; and
- If you are using the Service on behalf of an entity, organization, or company, you have full legal authority to bind that entity to these Terms.
3. Web3 Authentication, Accounts & API Keys
3.1 Web3 Wallet Authentication
To access most features of the Service, you authenticate using Sign-In with Ethereum (SIWE) or supported Web3 wallet signatures associated with your blockchain wallet address ("Wallet"). Your account is linked to your Wallet address. You are solely responsible for maintaining control and security over your Wallet, private keys, and session signatures.
3.2 API Keys & Credentials
You may generate API keys and tokens ("API Credentials") to interact with our inference endpoints. You are solely responsible for maintaining the confidentiality and security of your API Credentials and for all requests and charges incurred under your Wallet address or API Credentials, whether authorized by you or not. You agree to notify us immediately at support@gaib.ai if you suspect any compromise or unauthorized use of your API Credentials. Token Kiosk reserves the right to suspend, revoke, or limit API Credentials or account access at any time to protect the Service, users, or third parties.
4. Payments, Credits & Billing
4.1 Pre-Paid Credits
Access to inference endpoints requires purchasing or topping up pre-paid credits ("Credits") associated with your Wallet balance.
- Top-Up Methods: Credits may be purchased via direct on-chain cryptocurrency transfers (e.g., USDC, USDT on supported networks including Base, Arbitrum, BSC, and Ethereum) verified via x402 payment protocols or on-chain indexers, or via credit card top-ups processed through Stripe (where available).
- Credit Conversion: Credits are credited based on token-specific conversion rates (e.g., $1.00 USD credit per $1.00 USDC, or applicable brand multipliers).
4.2 Non-Refundable & Non-Transferable Nature of Credits
- Crypto & On-Chain Finality: All cryptocurrency transfers and x402 transactions settled on-chain are final, non-reversible, and non-refundable.
- Nature of Credits: Credits are not legal tender, fiat currency, or digital assets with monetary value outside the Service. Credits do not confer personal property rights, cannot be redeemed or exchanged for cash or legal tender, and are non-transferable between Wallets or accounts.
- Credit Expiration: Token Kiosk reserves the right to expire unused Credits three hundred sixty-five (365) days after purchase, unless otherwise required by applicable law.
4.3 Billing & Reservations
Before forwarding an inference request, the gateway locks a conservative pre-call estimate of Credits based on your request's max_tokens parameter. Upon completion or stream termination, the actual token cost incurred is settled against your balance and any unrequested reserved locks are released. If your balance is insufficient to cover the pre-call estimate, the gateway will reject the request with HTTP status code 402 Payment Required.
4.4 Promotional Credits
Token Kiosk may issue promotional or trial Credits ("Promo Credits"). Promo Credits have no monetary value, are non-refundable, expire on the date specified upon issuance (or 365 days if unspecified), and may be revoked or modified by Token Kiosk at any time.
5. Model Provider Terms & Compliance
5.1 Flow-Down of Model Terms
The Service provides access to Models hosted by third-party Model Providers (e.g., OpenAI, Anthropic, Google, Meta, Mistral, Bedrock, GMI Cloud, and others). By invoking or interacting with any Model through the Service, you agree—and represent that your end-users agree—to comply with all applicable terms, acceptable use policies, and license requirements of the underlying Model Provider ("Model Terms").
5.2 Responsibility & High-Risk Use
You are solely responsible for reviewing applicable Model Terms before making API calls and evaluating whether the Model is suitable for your use case. You acknowledge that Models provided through the Service are not certified for high-risk, life-critical, legal, medical, or safety-critical applications requiring guaranteed accuracy or continuous availability.
5.3 Restricted Models & Safeguards
Certain Model Providers impose regional, jurisdictional, or organizational restrictions ("Restricted Models"). You agree not to:
- Access or attempt to access Restricted Models if you or your end-users are located in restricted jurisdictions;
- Use VPNs, proxies, or artificial routing tools to bypass geographic safeguards, IP filtering, or access restrictions; or
- Circumvent safety filters, moderation systems, or guardrails implemented by Token Kiosk or Model Providers.
Violation of this Section 5.3 constitutes a material breach resulting in immediate suspension or termination of your API access and Wallet balance.
5.4 Suspension & Provider Demands
Token Kiosk reserves the right to suspend, restrict, or terminate access to any Model or provider endpoint immediately if we reasonably believe you or your end-users have violated Model Terms, or upon request or order from an upstream Model Provider or regulatory authority.
6. User Content, Data Handling & Privacy
6.1 User Content & Ownership
You may send prompts, text, images, or data to the Service ("Inputs") and receive generated responses ("Outputs", together with Inputs, "User Content"). As between you and Token Kiosk, you retain ownership of your Inputs and Outputs to the extent permitted by applicable law and subject to the Model Terms of the applicable Model Provider.
6.2 License to Token Kiosk
You grant Token Kiosk a worldwide, non-exclusive, royalty-free license to host, transmit, reproduce, and process User Content solely as necessary to operate, route, bill, and provide the Service to you.
6.3 Prompt Privacy & Zero Retention
As detailed in our Data & Logging Policy, Token Kiosk does not persist prompt or completion content in its database. Only request metadata (wallet address, API key ID, model ID, token counts, latency, and billing cost) is logged for billing, analytics, and accounting purposes. Upstream Model Providers handle request payloads according to their respective privacy and data retention policies.
6.4 Input Warranties
You represent and warrant that:
- You own or have all necessary rights, licenses, and permissions to submit Inputs to the Service;
- Your Inputs and intended use do not infringe, misappropriate, or violate any third-party intellectual property, privacy, or statutory rights; and
- Your Inputs do not contain malware, malicious code, or illegal material.
7. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Using the Service for any unlawful, fraudulent, harmful, or unauthorized purpose;
- Submitting Inputs that violate applicable laws, regulations, or third-party rights;
- Reverse engineering, decompiling, disassembling, or attempting to discover the source code or underlying structure of the Service or Models (except to the extent permitted by law);
- Scraping, harvesting, or extracting data from the Service outside authorized API use;
- Interfering with or disrupting the integrity, performance, or rate limits of the Service;
- Unauthorized red-teaming, adversarial prompt injection attacks, or security probing targeted at upstream Model Providers in violation of their acceptable use policies; or
- Impersonating any person or entity or misrepresenting your affiliation with any entity or project.
8. Red Teaming & Security Testing
Adversarial red-teaming, safety probing, or vulnerability scanning of upstream Models without prior written authorization from Token Kiosk and the respective Model Provider is strictly prohibited and constitutes a violation of these Terms.
9. Termination of Use & Modifications to Service
Token Kiosk reserves the right, in its sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Service, or deactivate your API Credentials and Wallet access, if you breach these Terms, engage in fraudulent activity, or create legal liability for Token Kiosk or Model Providers. We reserve the right to modify, update, or discontinue any feature or endpoint of the Service at any time.
10. Third-Party Services & Payment Facilitators
The Service interoperates with third-party networks, payment processors (e.g., Stripe, Coinbase, x402 facilitators), and blockchain RPC nodes. Token Kiosk is not responsible for third-party service outages, network congestion, gas fees, or third-party software failures. Your interactions with third-party services are governed solely by those third parties' respective terms and policies.
11. Modification of Terms
We may modify these Terms from time to time. For material modifications that affect your rights or obligations, we will provide at least thirty (30) days' advance notice by updating the "Last Updated" date, posting an announcement on our Site, or issuing an in-app notice. Your continued use of the Service following the effective date of updated Terms constitutes your acceptance of the changes.
12. Ownership & Intellectual Property
The Service, including its brand, website design, documentation, software, APIs, graphics, and code, is owned and operated by GAIB and its licensors, protected by copyright, trademark, and intellectual property laws. Except for the limited access rights expressly granted herein, no rights or licenses are granted to you.
13. Feedback
If you provide suggestions, feature requests, bug reports, or feedback ("Feedback") regarding the Service, you grant GAIB an unrestricted, perpetual, irrevocable, royalty-free license to use, incorporate, and exploit such Feedback without restriction or obligation to you.
14. Confidentiality
Non-public information regarding the Service, API architecture, pricing schedules, or security protocols disclosed by Token Kiosk shall be treated as Confidential Information. You agree not to disclose such Confidential Information to third parties without prior written consent.
15. Indemnification
You agree to defend, indemnify, and hold harmless GAIB, Token Kiosk, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your access to or use of the Service;
- Your User Content or Inputs;
- Your violation of these Terms or any applicable Model Terms;
- Your violation of any third-party right or applicable law; or
- Any dispute between you and any third party or end-user of your applications.
16. Disclaimers & No Warranties
THE SERVICE, ALL MATERIALS, AND ALL MODEL OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TOKEN KIOSK AND GAIB EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT OUTPUTS GENERATED BY THIRD-PARTY MODELS WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR YOUR INTENDED USE. YOU ASSUME ALL RISK FOR EVALUATING AND USING MODEL OUTPUTS.
17. Limitation of Liability
IN NO EVENT SHALL GAIB, TOKEN KIOSK, OR THEIR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE SERVICE OR MODEL OUTPUTS.
IN ALL CASES, THE AGGREGATE LIABILITY OF GAIB AND TOKEN KIOSK FOR ALL CLAIMS ARISING UNDER THESE TERMS OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO TOKEN KIOSK FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100 USD).
18. Governing Law & Jurisdiction
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of New York, United States, without giving effect to conflict of law principles. Any legal suit, action, or proceeding shall be instituted exclusively in the state or federal courts located in New York, NY.
19. Dispute Resolution & Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
19.1 Binding Individual Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the breach, termination, enforcement, or interpretation thereof shall be settled by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, rather than in court.
19.2 Class Action Waiver
YOU AND GAIB AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
19.3 Exceptions
Notwithstanding Section 19.1, either party retains the right to: (a) bring an individual action in small claims court; (b) seek injunctive or equitable relief in a court of competent jurisdiction to prevent intellectual property infringement or misuse; or (c) enforce applicable administrative agency actions.
20. Third-Party Beneficiary Status for Model Providers
You acknowledge and agree that upstream Model Providers (including OpenAI, Anthropic, Google, Meta, and others whose models are accessible through the Service) are intended third-party beneficiaries of Sections 5, 6, 7, 15, 17, and 20 of these Terms to the extent necessary to enforce compliance with their respective Model Terms and usage restrictions.
21. Consent to Electronic Communications
By using the Service, you consent to receiving electronic communications, notices, and disclosures from us via the Site, API responses, or electronic mail. You agree that all electronic notices satisfy any legal writing requirements.
